Teckningsperiod
Teckningstiden kommer att löpa från 1–15 april 2025. Efter teckningstidens utgång blir outnyttjade uniträtter ogiltiga och förlorar därefter sitt värde. Efter teckningstiden kommer outnyttjade uniträtter, utan avisering från Euroclear, att bokas bort från aktieägarnas VP-konton.
Företrädesrätt och uniträtter
Aktieägare som på avstämningsdagen den 28 mars 2025 var registrerade i den av Euroclear Sweden AB förda aktieboken erhåller en (1) uniträtt för varje innehavd aktie. Tjugotre (23) uniträtter berättigar till teckning av en (1) unit. En (1) unit innehåller trettio (30) aktier och tjugo (20) teckningsoptioner av serie TO1, samt tio (10) teckningsoptioner av serie TO2.
Teckningskurs
Teckningskursen per unit uppgår till 16,80 SEK, motsvarade 0,56 SEK per Aktie. Courtage utgår ej.
Teckningsoptioner
Varje Teckningsoption av serie TO1 kommer ge rätt att teckna 1 ny Aktie under perioden 18 november 2025 – 2 december 2025. Teckningskursen vid teckning av Aktier med stöd av Teckningsoptionerna kommer motsvara 70 procent av den volymvägda genomsnittliga betalkursen för Bolagets Aktie under perioden 3 november 2025 – 17 november 2025. Teckningskursen för Teckningsoptioner av serie TO1 ska dock lägst vara aktiens kvotvärde och högst en kurs som, vid full teckning, inbringar ett belopp om 10 MSEK till Bolaget, motsvarande en högsta teckningskurs om 0,48 SEK.
Varje teckningsoption av serie TO 2 ger rätt att teckna 1 ny aktie i Bolaget under perioden 18 maj – 1 juni 2026. Teckningskursen vid teckning av aktier med stöd av teckningsoptioner av serie TO 2 kommer motsvara 70 procent av den volymvägda genomsnittliga betalkursen för Bolagets aktie under perioden 4–15 maj 2026. Teckningskursen för Teckningsoptioner av serie TO2 ska dock lägst vara aktiens kvotvärde och högst en kurs som, vid full teckning, inbringar ett belopp om 5 MSEK till Bolaget, motsvarande en högsta teckningskurs om 0,48 SEK.
Summary of the rights issue
Subscription Period
The subscription period will run from April 1–15, 2025. After the end of the subscription period, any unexercised unit rights will become invalid and will thereafter lose their value. After the subscription period, unexercised unit rights will be removed from shareholders’ VP accounts without notification from Euroclear.
Preemptive Rights and Unit Rights
Shareholders who were registered in the share register maintained by Euroclear Sweden AB on the record date of March 28, 2025, will receive one (1) unit right for each share held. Twenty-three (23) unit rights entitle the holder to subscribe for one (1) unit. One (1) unit consists of thirty (30) shares, twenty (20) warrants of series TO1, and ten (10) warrants of series TO2.
Subscription Price
The subscription price per unit amounts to 16.80 SEK, corresponding to 0.56 SEK per share. No brokerage fee will be charged.
Warrants
Each warrant of series TO1 entitles the holder to subscribe for one (1) new share during the period from November 18, 2025, to December 2, 2025. The strike price for shares subscribed through the warrants will correspond to 70 percent of the volume-weighted average price of the Company’s share during the period from November 3, 2025, to November 17, 2025. However, the strike price for warrants of series TO1 shall be at least the quota value of the share and at most a price that, upon full subscription, raises an amount of 10 MSEK for the Company, corresponding to a maximum strike price of 0.48 SEK.
Each warrant of series TO2 entitles the holder to subscribe for one (1) new share in the Company during the period from May 18, 2026, to June 1, 2026. The strike price for shares subscribed through the warrants of series TO2 will correspond to 70 percent of the volume-weighted average price of the Company’s share during the period from May 4, 2026, to May 15, 2026. However, the strike price for warrants of series TO2 shall be at least the quota value of the share and at most a price that, upon full subscription, raises an amount of 5 MSEK for the Company, corresponding to a maximum strike price of 0.48 SEK.
